Terms of Sale
Draft v1.0 — production publication requires final legal review and official company identifiers.
These terms govern enterprise purchases made through SBCMI Store. They are designed for international business customers and should be read together with the applicable product specification, order summary and invoice.
Seller and contracting party
The seller is Sahab Al Baraka Company for Modern Industries, Kingdom of Saudi Arabia. The final production version must display the official commercial registration, VAT registration, registered address and designated customer-service contact details.
Business-only enterprise transactions
Enterprise software licenses, annual assurance plans and expert technical-support services are offered to verified business customers. SBCMI may request reasonable corporate, tax, beneficial-owner, sanctions-screening or procurement information before activation.
Price and payment
Unless a signed written order states otherwise, the displayed price is the full product or service price before any tax that may be legally due. Payment is required in full (100%) before license provisioning, subscription activation or service commencement. Cleared funds are required before activation.
- No installment plan is offered by the standard storefront.
- Payment-provider fees charged to SBCMI do not reduce the contractual purchase price.
- Bank, intermediary and foreign-exchange charges imposed on the buyer remain the buyer’s responsibility unless stated otherwise.
Taxes and invoicing
Tax treatment is determined for each transaction based on applicable Saudi rules and relevant customer/location evidence. Production invoices must be issued through the applicable electronic invoicing process configured for the seller. The storefront does not promise a zero tax rate merely because the customer is outside Saudi Arabia.
Provisioning and delivery
Provisioning begins only after payment confirmation and any required customer verification. Delivery method, license scope, activation instructions and implementation boundaries are stated on the product page or order documentation.
No transfer of intellectual property
Purchase of a software license grants only the contractual right to use the licensed software within the agreed scope. It does not transfer source code, copyright, patents, trademarks, confidential know-how or ownership of the software.
Implementation and change requests
Custom integration, migration, configuration, implementation, training, site work, travel and custom development are excluded unless expressly included in a signed statement of work or order. Work outside the stated scope is treated as a separate service.
Compliance and restricted use
The buyer must use the products lawfully and must not use the service in a manner that violates sanctions, export-control restrictions, intellectual-property rights, cybersecurity laws or applicable sector regulations. SBCMI may suspend performance where legally required.
Order evidence
The platform records the policy version accepted, acceptance timestamp, checkout profile, payment record and order identifiers to support an auditable electronic transaction record.
