Enterprise Software License Terms
Version 2.0 — Last updated 18 August 2026. Mandatory Saudi law and any non-waivable customer rights prevail over conflicting contractual language.
These terms apply to one-time enterprise software licenses sold through SBCMI Store and supplement the Terms of Sale and product-specific order documentation.
License grant
After full cleared payment, required verification and successful provisioning, SBCMI grants the named business customer a non-exclusive, non-transferable, non-sublicensable right to use the licensed software for its internal business operations within the scope stated in the order.
License scope
Permitted legal entities, sites, countries, environments, users, production instances, interfaces and deployment architecture are defined by the applicable order. Any use outside that scope requires prior written authorization and may require additional fees.
Restrictions
Except where mandatory law requires otherwise, the customer may not resell, sublicense, distribute, publish, make the software available as a third-party hosted service, remove ownership notices, bypass license controls, or reverse engineer/decompile the software beyond any strictly non-waivable statutory right.
Provisioning and credentials
License credentials and activation materials are digital. The customer is responsible for protecting credentials and promptly notifying SBCMI of suspected unauthorized use. Provisioning is performed only after the required payment and verification conditions are satisfied.
Updates, maintenance and support
The one-time license does not by itself include unlimited future releases, perpetual maintenance or unlimited engineering support. Annual Software Assurance is a separately priced 12-month service.
Material defects and corrective action
If the licensed software is materially defective or materially does not conform to the agreed specification, SBCMI will assess the reported issue and, where applicable, provide correction, replacement, workaround, re-provisioning, refund or another remedy required by the contract or mandatory law.
Suspension and termination
SBCMI may suspend access for fraud, unauthorized use, security threats, unlawful use, charge reversal or material breach, subject to applicable law and any required cure process. A valid full refund or lawful rescission may result in revocation of the related license and credentials.
